IMPORTANT NOTICE: THESE TERMS CONTAIN AN ARBITRATION PROVISION AND A
WAIVER OF CERTAIN LEGAL RIGHTS.
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,”
or “User”) and Current Micromobility Inc., including any of its affiliates, subsidiaries, and related
entities (collectively, “Current,” “we,” “us,” or “our”), governing your access to and use of our mobile
application, website, technology platform, and any related products or services (collectively, the
“Services”).
The Services include, but are not limited to, any Current-branded websites that link to these Terms
(including mobile-optimized versions), mobile applications (including the “Current” app), electronic
communications, software, hardware, Rental Services, and any other materials or content provided or
made available by Current, including any services or vehicles made available through or in conjunction
with Current’s Platform Partners (collectively, the “Rental Services”).
By accessing or using the services, you agree to be bound by these terms. If you do not agree to be bound
by these terms, you must not access or use the services.
We may update or modify these terms at any time, in our sole discretion. If we make material changes, we
will provide notice to you in a reasonable manner. Your continued use of the services following such
notice shall constitute your acceptance of any changes to these terms.
In addition to these Terms, you may be required to accept and be bound by additional agreements relating
to specific features or services, including a Rental Agreement, Waiver of Liability, Release of Claims, or
similar documents, depending on the nature of your use of the Rental Services. Your decision to enter into
any such agreements and use the Rental Services remains entirely voluntary.
1. LICENSE TO USE SERVICES
1.1 Subject to your compliance with these Terms, Current grants you a limited, revocable, non-
exclusive, non-transferable, and non-sublicensable license to access and use the Services for your
personal, non-commercial use. This license expressly excludes, without limitation:
(a) Any resale or commercial use of the Services or their content;
(b) The collection or use of product listings, descriptions, or pricing information;
(c) The creation of derivative works;
(d) The use of data mining, robots, or similar data gathering and extraction tools;
(e) The downloading (other than page caching) or copying of information for the
benefit of any third party;
(f) Any reverse engineering or attempt to extract source code from the Services.
1.2 Any use of the Services not expressly authorized herein is strictly prohibited and shall terminate
any license or permission granted by Current.
2. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP
2.1 All materials and content displayed on or accessible via the Services, including, without
limitation, text, graphics, logos, images, audio, video, data, software, and code (collectively, the
“Content”), are the proprietary property of Current, its licensors, Platform Partners, vendors, or
other authorized third parties. The Content is protected by Canadian and international copyright,
trademark, and other intellectual property laws.
2.2 Except as expressly permitted by law or in writing by Current, you may not reproduce, distribute,
modify, display, perform, transmit, publish, license, create derivative works from, or otherwise
exploit any Content or portion of the Services. You must retain all copyright, trademark, and
other proprietary notices contained in the original materials.
2.3 Your use of the Services must at all times comply with applicable local, provincial, federal, and
international laws and regulations.
3. TRADEMARKS
3.1 The trademarks, trade names, logos, service marks, and other identifying marks (collectively,
“Marks”) displayed on or in connection with the Services are the exclusive property of Current or
its respective licensors, Platform Partners, or third-party owners. Use of the Marks without the
prior written permission of Current or the respective rights holder is strictly prohibited.
3.2 Nothing in these Terms or on the Services shall be construed as granting, by implication,
estoppel, or otherwise, any license or right to use any Marks without the express written
permission of the owner.
3.3 You may not use any Marks in connection with the distribution of any content, promotional
materials, or commercial activity that may suggest an endorsement by or affiliation with Current,
unless expressly authorized by Current in writing.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 To access certain Services, including Rental Services, you must register for an account. You agree
to:
(a) Provide true, accurate, current, and complete information as prompted by the
registration process (“Registration Data”); and
(b) Maintain and promptly update the Registration Data to keep it accurate, current,
and complete.
4.2 You are solely responsible for safeguarding your account credentials, including your username
and password. You agree not to share your credentials with any third party, and you accept
responsibility for all activities that occur under your account.
4.3 If you suspect any unauthorized access to or use of your account, you agree to immediately notify
Current. Current reserves the right to suspend or terminate your account, or deny access to the
Services, if it determines in its sole discretion that any information provided by you is false,
misleading, outdated, or incomplete.
4.4 Your use of the Services and submission of Registration Data is governed by Current’s Privacy
Policy, which can be found at: ridecurrent.ca/privacy.
5. PAYMENT TERMS
5.1 Payment Method Authorization
(a) To access certain features of the Services, including the Rental Services, you may be
required to provide a valid payment method (“Payment Method”), such as a credit or
debit card. You represent and warrant that you are authorized to use the Payment Method
you provide and authorize Current to charge all applicable fees, including taxes and
surcharges, to such method.
(b) You are responsible for ensuring your Payment Method remains valid and current. In the
event of a failed payment transaction, you may be denied access to the Services until the
outstanding balance is paid in full.
5.2 Disputes: If you believe you have been incorrectly charged, you must notify Current in writing
within ten (10) business days of the close of the billing period in which the disputed charge
occurred. Your notice must include all relevant information to identify the transaction at issue.
5.3 Auto-Update & Preloaded Balance: Certain Services may include the option to preload a balance
to your account and enable automatic replenishment (“Auto-Update”). By opting into Auto-
Update, you authorize Current to charge your Payment Method when your balance falls below a
specified threshold. You may manage or disable Auto-Update within your account settings at any
time. Auto-Update bonuses, if offered, are non-refundable and may be applied only toward
eligible Rental Services. Current reserves the right to modify or discontinue Auto-Update at any
time without notice.
5.4 Third-Party Payment Processors: Current may engage third-party payment processing services
to facilitate transactions. You agree to comply with any applicable terms and conditions imposed
by such third-party providers, including but not limited to Stripe, Square, or similar providers.
6. DISPUTE RESOLUTION;
GOVERNING LAW; ARBITRATION AGREEMENT
6.1 Governing Law and Jurisdiction: This Agreement and any dispute or claim arising out of or in
connection with it shall be governed by and construed in accordance with the laws of the
Province of Ontario and the laws of Canada applicable therein, without regard to its conflict of
law rules.
6.2 Dispute Resolution and Arbitration:
(a) Except where prohibited by applicable law, you agree that any dispute, controversy, or
claim arising out of or relating to this Agreement or your use of the Services, including
any question regarding its existence, interpretation, validity, breach, or termination, shall
be resolved by final and binding arbitration administered by the Arbitration Place, in
accordance with its rules then in effect.
(b) The seat of arbitration shall be Toronto, Ontario, and the arbitration shall be conducted
in English. Judgment on the award rendered by the arbitrator may be entered in any court
having jurisdiction thereof.
(c) Notwithstanding the foregoing, you and Current each retain the right to seek injunctive or
other equitable relief in a court of competent jurisdiction in Ontario, including where
necessary to preserve the status quo or to prevent irreparable harm.
6.3 Individual Basis Only:
(a) To the fullest extent permitted by applicable law, you agree to resolve any dispute with
Current on an individual basis and waive any right to participate in a class, collective, or
representative action. You may not bring any claim as a plaintiff or class member in a
class, consolidated, or representative proceeding.
(b) If the class action waiver is found to be unenforceable, any putative class action may only
proceed in the Superior Court of Justice in Ontario and shall not be subject to arbitration.
7. ELIGIBILITY
7.1 You represent and warrant that you:
(a) are at least 16 years of age;
(b) possess a valid government-issued identification;
(c) are legally authorized to enter into this Agreement under applicable laws in Ontario;
(d) will comply with all applicable laws, including without limitation Ontario’s Highway
Traffic Act, Municipal By-laws, and any laws applicable to the use and operation of
electric bicycles or micromobility vehicles.
7.2 Use of Rental Services may be further subject to restrictions or requirements imposed by local
municipalities in which the Services operate.
8. RENTAL SERVICES AND SAFETY
8.1 Vehicle Use Requirements: You agree to use the Rental Services in accordance with any Rental
Agreement and safety guidelines provided through the Current App or by Current directly. You
must wear a helmet where required by law or local ordinance, and you acknowledge that using
Rental Services involves inherent risks, including the risk of physical injury or death, which you
voluntarily assume.
(a) You shall not:
(i) Operate a vehicle under the influence of drugs or alcohol;
(ii) Permit any other person to use a rented vehicle assigned to your account;
(iii) Use the vehicle for racing, stunts, or off-road activities;
(iv) Exceed local speed limits or engage in reckless riding.
8.2 Compliance with Traffic Laws: You agree to comply with all applicable municipal and provincial
laws, including Ontario's Highway Traffic Act, and any municipal by-laws regarding the
operation of electric bicycles.
9. TERMINATION
9.1 Termination by You: You may terminate this Agreement at any time by ceasing to use the
Services and, if applicable, deleting your account through the Current app.
9.2 Termination by Current:
(a) Current may suspend or terminate your access to any part of the Services or your account
at any time for any reason, including without limitation:
(i) violations of this Agreement;
(ii) fraud, abuse, or misconduct;
(iii) suspected unauthorized or illegal use of the Services.
(c) Upon termination of your account, any prepaid balance that is non-refundable under this
Agreement or under applicable Ontario law shall be forfeited.
10. DISCLAIMER OF WARRANTIES
10.1 To the fullest extent permitted by applicable law:
(a) The Services are provided on an “as is” and “as available” basis, without any warranties,
representations, or conditions of any kind, whether express, implied, statutory, or
otherwise.
(b) Current disclaims all implied warranties or conditions of merchantability, fitness for a
particular purpose, title, and non-infringement.
(c) Current does not guarantee that the Services will be uninterrupted, secure, or error-free,
or that any vehicle or equipment will be in safe working condition at all times.
10.2 Note for Ontario Consumers: This disclaimer does not limit any rights you may have under the
Consumer Protection Act, 2002 (Ontario). To the extent such rights apply, they prevail over
inconsistent terms in this section.
11. LIMITATION OF LIABILITY
11.1 To the fullest extent permitted by applicable law:
(a) Current, its affiliates, employees, officers, directors, licensors, and agents shall not be
liable for any indirect, incidental, special, consequential, punitive, or exemplary damages,
including loss of profits, data, use, goodwill, or other intangible losses, arising out of or
in connection with your use of the Services.
(b) Current's total cumulative liability arising from or relating to the Services, whether in
contract, tort (including negligence), or otherwise, shall not exceed the greater of:
(i) $100 CAD, or
(ii) the total amount paid by you to Current for Services in the 6-month
period preceding the event giving rise to liability.
11.2 Important Ontario Notice: Nothing in this Agreement limits liability for:
(a) Death or personal injury caused by Current’s negligence or that of its representatives;
(b) Any other liability that cannot be excluded or limited by applicable law, including the
Occupiers’ Liability Act and Negligence Act (Ontario).
12. INDEMNITY
12.1 You agree to indemnify, defend, and hold harmless Current, its affiliates, and their officers,
directors, employees, contractors, licensors, and agents, from and against any claims, losses,
damages, demands, liabilities, and expenses (including reasonable legal fees), arising out of or
related to:
(a) Your use of the Services;
(b) Violation of these Terms;
(c) Violation of any applicable law or regulation;
(d) Your negligence or wilful misconduct;
(e) Any damage or injury caused to third parties while operating a rented vehicle.
12.2 Current reserves the right to assume exclusive defence and control of any matter otherwise
subject to indemnification by you, in which case you agree to cooperate fully with Current in
asserting any available defences.
13. FORCE MAJEURE
13.1 Current shall not be liable for any delay or failure to perform resulting from causes outside its
reasonable control, including but not limited to:
(a) Acts of God,
(b) Natural disasters,
(c) Strikes or labour disputes,
(d) Government actions or public health emergencies,
(e) Telecommunications or utility failures,
(f) Acts of vandalism, terrorism, or war.
14. PRIVACY
14.1 Your use of the Services is subject to Current’s Privacy Policy, which explains how we collect,
use, and protect your personal information. The Privacy Policy is incorporated into these Terms
by reference and is available within the Current app and at ridecurrent.ca/privacy (URL
placeholder — please update with actual link).
14.2 By using the Services, you consent to the collection, use, and disclosure of your information in
accordance with the Privacy Policy and applicable privacy laws, including the Personal
Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Consumer
Protection Act.
15. SEVERABILITY
15.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or
arbitrator of competent jurisdiction, such provision shall be enforced to the fullest extent
permitted by law, and the remaining provisions shall continue in full force and effect.
16. ASSIGNMENT
16.1 You may not assign or transfer your rights or obligations under this Agreement without Current’s
prior written consent. Current may assign this Agreement without restriction, provided such
assignment does not materially affect your rights under this Agreement.
17. ENTIRE AGREEMENT
17.1 These Terms, together with the Rental Agreement (if applicable), Privacy Policy, and any
additional terms and policies referenced herein, constitute the entire agreement between you and
Current regarding the Services and supersede any prior agreements or understandings, whether
written or oral.
